Cascade Access DSL Agreement

This Agreement made on the ____ day of _______, 2006 By Cascade Access (ISP) and ___________________________, (Customer) whose service address is _____________

___________________________ (Property) and billing address is _______________________________

Whereas, the ISP desires to furnish DSL service to the Customers at the Property.

Whereas, the Customer desires to obtain DSL service from the ISP at the Property.

Now Therefore, in consideration of the mutual covenants herein set forth, the parties agree as follows:

The terms of this Agreement shall commence on the____ day of _________, 2001. This Agreement shall be in effect for ___________ and terminates on the______ day of ___________. Following the completion of the terms of this Agreement, the Agreement will automatically renew on a month to month basis until either party terminates the Agreement with a thirty (30) day written notice.

Customer agrees to maintain a minimum of one standard dial up service (line) with Cascade Utilities for the term of this Agreement.

ISP agrees to provide DSL service and Internet connection, speeds included in the package purchased may vary due to line condition, distance from office and internet site connecting to.

ISP agrees to provide the following hardware for the purpose of providing DSL services to the Customer. The customer agrees to purchase or rent the following for the rental rate of $12.00 per month for the term of this Agreement._____ Customer's Initials.

If rented ADSL Modem Kit is not returned, following the termination of this Agreement, Customer will be charged the purchase price listed below

ADSL Modem Kit Purchase Price: $255.00

(DSL Modem, Four Filters, and Network Interface Card (NIC))

ISP agrees to bill the Customer in accordance with the commercial schedule attached as Exhibit “A” to this Agreement and incorporated herein by reference. If the Customer, terminates this Agreement prior to the ______day of______________, the Customer agrees to pay $25.00 for each month remaining in this Agreement at the time of the termination. Further, if Customer terminates this Agreement within (6) six months, the Customer agrees to pay any DSL Activation Service Order Charge upon termination if DSL Activation Service Order Charge was waived as a result of a promotional offering.

Customer requested installation of a NIC from ISP hereby waives any warranty or claim for damages against ISP, as a result of this installation except for damages caused by willful negligence.

ISP shall not be held responsible for damage by reason of failure, where such failures are the result of any strike, war, riot, insurrection, civil commotion, fire, flood, accident, storm or any act of God or any other cause beyond the control of the ISP, including but not limited to, any Federal, State and or Local regulatory requirements now or hereafter in existence.

This Agreement shall be governed under Federal laws and laws of the State of Oregon . Any section of this Agreement that is held illegal is severable if it does not destroy the intention of this Agreement and the remaining provisions shall remain in full force and effect.

In the event any suit or action is instituted to enforce any of the terms of this Agreement, the losing party shall pay the prevailing party, in addition to the costs and disbursements allowed by statute, such sum as the court may adjudge reasonable as attorney's fees in such suit or action in both trial and appellate courts.
